1. Introduction & Acceptance of Terms

Welcome to Websytex Digital Private Limited. These terms and conditions outline the rules and regulations for the use of our website and the digital services we provide. By accessing this website and engaging with our agency, we assume you accept these terms and conditions in full.

Do not continue to use Websytex Digital Private Limited's services if you do not agree to take all of the terms and conditions stated on this page. Our core services include, but are not limited to, website design, web development, digital marketing, search engine optimization (SEO), application development, WhatsApp API services, and IT consulting.

2. Client Responsibilities & Obligations

To ensure the successful delivery of projects, the client agrees to provide Websytex Digital Private Limited with all necessary information, credentials, content (text, images, videos), and approvals in a timely manner. Delays in providing required assets may result in project timeline extensions.

• Accuracy of Information: The client guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork provided are owned by the client, or that the client has permission to use them.
• Timely Feedback: Clients are expected to review deliverables and provide feedback within the agreed-upon timeframes (typically 3-5 business days) to keep projects on track.
• Lawful Use: You are prohibited from using our services for any unlawful purpose, including hosting illegal content, spamming, or violating intellectual property laws.

3. Payment Terms, Billing & Refunds

All projects, campaigns, and services are subject to a mutual agreement outlining the scope of work, deliverables, and payment milestones. Standard payment terms require an upfront deposit (usually 50%) before any design or development work commences.

• Invoices & Milestones: Invoices will be generated based on project milestones. Final delivery of files, website launch, or credential handover will only occur after the final balance is paid in full.
• Late Payments: We reserve the right to pause or suspend services, including temporary suspension of website hosting or marketing campaigns, if payments are delayed beyond the due date.
• Refund Policy: Due to the custom nature of our digital services, deposits are generally non-refundable once work has commenced. If a project is canceled by the client, they will be billed for the proportionate amount of work completed up to the date of cancellation.

4. Intellectual Property Rights

Upon final payment, the client is assigned rights to the final website design, application, or marketing assets created for their specific project. However, Websytex Digital Private Limited retains the right to use the completed project and any preliminary designs as part of our portfolio, marketing materials, and case studies unless a strict Non-Disclosure Agreement (NDA) is signed beforehand.

We retain intellectual property rights to our proprietary code libraries, frameworks, and background technologies used to build your solution. You are granted a non-exclusive license to use these elements as part of your final product, but you may not resell or distribute our proprietary code independently.

5. Revisions, Maintenance & Support

During the design and development phases, clients are entitled to a specific number of revisions as outlined in their proposal. Any additional features, structural changes, or excessive revisions requested outside the original scope of work will be subject to additional billing at our standard hourly rate.

Post-launch support, website maintenance, and ongoing updates are not included by default unless a separate Maintenance or Retainer Contract is agreed upon. Without a maintenance plan, the client assumes full responsibility for website updates, security, and backups after the handover.

6. Limitation of Liability

Websytex Digital Private Limited shall not be held liable for any indirect, special, or consequential damages, including but not limited to loss of data, loss of revenue, or business interruption, arising out of the use or inability to use our services or products.

While we implement industry-standard security measures, we are not liable for malicious attacks, hacks, or third-party software vulnerabilities (such as WordPress plugin failures) that may affect your website or application post-launch.

7. Termination of Services

Either party may terminate the working relationship by providing written notice. In the event of termination, the client agrees to pay for all work completed up to the termination date. We reserve the right to terminate services immediately without refund if the client breaches these terms, engages in abusive behavior toward our staff, or uses our services for illegal activities.

8. Governing Law & Jurisdiction

These terms and conditions are governed by and construed in accordance with the laws of India. Any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts located in Siliguri, West Bengal, India.
